Representative mandates.

Represented TPP Healthcare International in securing project financing from the Government Savings Bank for the construction of MedPark Hospital, one of Bangkok’s largest private hospital developments. Value: THB 3.5 billion (approximately USD 117 million).

Represented a major investment fund in the proposed acquisition of shares in DRJL Group Ltd., a cosmetics business operating under the Dr. Jill brand, including the merger acquisition structure and offshore project financing. Value: THB 2.4 billion.

Represented the operator of Virajsilp Hospital in the transfer of its entire private hospital business to Principal Healthcare–Chumphon Company Limited, a subsidiary of Principal Capital Public Company Limited. Value: THB 540 million (approximately USD 17.2 million).

Represented a subsidiary of Principal Capital Public Company Limited in its acquisition of the entire private hospital business operating as “Sunpasitinter Hospital” through an entire business transfer from Ruamphaetsapphasit Company Limited. Value: THB 500 million (approximately USD 16 million).

Represented a leading company building a sustainable long-term cannabis ecosystem in Thailand in the acquisition of an 80% shareholding in Bienestar T&N Company Limited, an international-standard greenhouse cannabis farming company, from its existing shareholders.

Represented the shareholders of a leading Thai distributor of food supplements and cosmeceutical products in the proposed divestment of up to 80% of the company through an auction process, including restructuring the shareholding for tax-planning purposes.

Represented a leading Thai private hospital group in connection with the potential acquisition of shares in PCL Holding Company Limited and/or its subsidiaries.

Represented the sponsors and shareholders of a Thailand-based healthcare service provider in establishing a joint venture with Chemopharm Sdn. Bhd., a Malaysian healthcare operating subsidiary of Everlife Holdings Pte. Ltd.

Advised a Japanese pharmaceutical and consumer healthcare group on Thai regulatory and compliance matters relating to its over-the-counter pharmaceutical, quasi-drug, deodorising, air-freshening and sanitary products.
